Dealroom Partners Terms of Use

Effective Date: October 14, 2026 Last Updated: [Date]
Draft notice: This page still contains bracketed placeholders (effective date, support email, and a few policy specifics) that need to be filled in or confirmed before this is final. See the message from Claude for the full list.

1. Agreement to These Terms

These Terms of Use ("Terms") are a binding agreement between you and Dealroom Development LLC, a Massachusetts limited liability company that owns and operates Dealroom Partners ("Dealroom Partners," "we," "us," or "our"). They govern your access to and use of dealroompartners.com, our membership community, training videos, handwritten postcard service, and any related websites, applications, emails, events, and services (together, the "Services").

By creating an account, purchasing a membership, checking a box or clicking a button indicating acceptance, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

IMPORTANT NOTICE: SECTION 17 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT REQUIRES MOST DISPUTES BETWEEN YOU AND US TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND LIMITS THE REMEDIES AVAILABLE TO YOU. YOU MAY OPT OUT AS DESCRIBED IN SECTION 17.

YOUR MEMBERSHIP RENEWS AUTOMATICALLY UNTIL YOU CANCEL. SEE SECTION 4.

2. Eligibility

The Services are designed for licensed real estate professionals, including salespersons, brokers, and their teams, and for individuals actively pursuing a real estate license. You may use the Services only if:

  • you are at least 18 years old and able to form a binding contract;
  • you are not barred from using the Services under applicable law; and
  • if you represent that you hold a real estate license, that representation is true and your license is in good standing.

If you use the Services on behalf of a brokerage, team, or other business, you represent that you have authority to bind that business to these Terms, and "you" includes that business. We may ask you to verify your licensure at any time and may refuse or end access if you cannot.

3. Accounts

You must provide accurate, current, and complete information when you register and keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account.

Each membership is for one individual. You may not share your login, allow others to access your account, or resell or transfer your membership. Team or brokerage plans, if offered, are governed by the terms of that plan.

Notify us immediately at [[email protected]] if you suspect unauthorized use of your account. We are not liable for losses caused by unauthorized use of your credentials that results from your failure to protect them.

4. Membership, Fees, and Automatic Renewal

Plans. Memberships are offered on the plans, prices, billing intervals, and inclusions (such as any postcard credits) described at checkout or on our pricing page at the time of purchase (your "Plan"). Plan details shown at checkout are part of these Terms.

Automatic renewal. Your membership is a subscription that renews automatically at the end of each billing period (for example, monthly or annually) for another period of the same length, at the then-current price for your Plan, until you cancel. By purchasing a membership, you authorize us and our payment processor to charge your payment method at the start of each renewal period without further action by you.

Cancellation. You may cancel at any time through your account settings at [cancellation location, e.g., Account > Billing] or by emailing [[email protected]]. Cancellation takes effect at the end of your current paid billing period. You will keep access until then, and you will not be charged again.

No refunds. All fees are non-refundable, including for partial billing periods, unused postcard credits, unused content, or periods in which you did not use the Services, except where a refund is required by law or we decide, in our sole discretion, to issue one. A discretionary refund does not obligate us to issue refunds in the future.

Free trials and promotions. If we offer a free or discounted trial, the terms shown with the offer apply. Unless you cancel before the trial ends, your membership will convert to a paid membership and you will be charged the regular price for your Plan. Promotional pricing applies only for the period stated.

Price changes. We may change membership prices. We will notify you by email at least [30] days before a price increase takes effect on your renewal. If you do not cancel before the increase takes effect, you agree to the new price.

Renewal reminders. For annual or other memberships with a term longer than one month, we will send a reminder to the email address on your account before the renewal date, as required by applicable law.

Payment. You must provide a valid payment method and authorize us to charge it for all fees, applicable taxes, and any postage or postcard charges you incur. Payments are processed by third-party payment processors, and your use of their services is subject to their terms. If a payment fails, we may retry the charge, suspend your access, or cancel your membership. You remain responsible for any unpaid amounts.

Taxes. Prices do not include taxes unless stated. You are responsible for all applicable sales, use, and similar taxes, which we will collect where required.

Chargebacks. If you believe a charge is incorrect, contact us first at [[email protected]] within 60 days of the charge. If you initiate a chargeback for a charge that was properly authorized under these Terms, we may suspend or terminate your account.

5. Postcard Pricing and Credits

Postcards may be included in your Plan as credits, purchased separately on a per-card basis, or both, as described in your Plan at the time of purchase. Unless your Plan states otherwise:

  • postcard credits have no cash value and cannot be transferred, sold, or exchanged;
  • credits included in a billing period [expire at the end of that billing period / roll over for up to [X] billing periods] and are forfeited upon cancellation or termination;
  • per-card charges, including any postage, are billed when your order is submitted; and
  • we may adjust per-card prices, including to reflect changes in postage rates, with notice before the change applies to new orders.

Postage rates are set by the United States Postal Service ("USPS") and may change without notice to us. Orders already submitted will be charged at the price shown when submitted.

6. Handwritten Postcard Service

How it works. The postcard service lets you submit message content, recipient lists, and design selections so that we, or our fulfillment vendors, can produce and mail postcards to recipients you choose on your behalf. Postcards are written in a handwritten style and [may be produced using automated handwriting equipment with real pens]. Handwriting style, ink, card stock, and appearance may vary from samples.

You are the sender. Each postcard is sent on your behalf and at your direction. You, not Dealroom Partners, are the sender of each postcard and are solely responsible for its content, its recipients, and its compliance with law. We act only as a service provider that produces and mails postcards according to your instructions.

Mailing lists and recipient data. When you upload or enter names, addresses, or other information about recipients ("Recipient Data"), you represent and warrant that:

  • you obtained the Recipient Data lawfully and have all rights, permissions, and consents needed to provide it to us and to have us use it to send postcards on your behalf;
  • your use of the Recipient Data does not violate any law, any contract (including any MLS, data provider, or brokerage agreement), or any person's privacy rights;
  • you will honor any request from a recipient to stop receiving mail from you, and will remove that recipient from your lists; and
  • the Recipient Data is accurate to the best of your knowledge.

We use Recipient Data only to provide the postcard service to you, to maintain and improve the Services, and as described in our Privacy Policy. We do not sell your Recipient Data or use it to market to your recipients. You may delete Recipient Data from your account at any time, subject to our need to complete orders already submitted and our backup and retention practices.

Your responsibility for content and compliance. You are solely responsible for ensuring that every postcard you send complies with all laws, regulations, and rules that apply to you, including:

  • your state's real estate license law and advertising rules, such as any requirement to include your brokerage's name, your license status, or other disclosures;
  • your brokerage's policies and supervision requirements;
  • the federal Fair Housing Act and state and local fair housing laws;
  • rules governing solicitation of property owners, including any restrictions on contacting owners whose properties are listed with another broker;
  • the National Association of REALTORS® Code of Ethics and MLS rules, if they apply to you; and
  • USPS regulations and other postal requirements.

We do not review postcards for legal compliance, and any review, template, or suggestion we provide is not legal advice and does not shift responsibility to us.

Prohibited postcard content. You may not use the postcard service to send content that is unlawful, false or misleading, discriminatory, threatening, harassing, defamatory, obscene, or infringing; that impersonates any person or business; that collects payment or sensitive information under false pretenses; or that is sent to a person who has asked you not to contact them. We may refuse, hold, or cancel any order that we believe, in our sole discretion, violates these Terms or the law, and we may suspend your access to the postcard service.

Proofs and orders. You are responsible for reviewing each order, including message text, spelling, names, addresses, and return address, before submitting it. Once an order is submitted, it may not be changed or canceled after production has begun. We are not responsible for errors in content or Recipient Data that you provide.

Production and delivery. Production and mailing times are estimates and are not guaranteed. Once a postcard is delivered to USPS or another carrier, delivery is outside our control. We are not responsible for delays, loss, damage, misdelivery, or non-delivery caused by the carrier, by inaccurate or incomplete addresses, or by events beyond our reasonable control. Returned or undeliverable postcards will not be re-sent or credited unless the failure resulted from our error.

Our errors. If a postcard is not produced or mailed as ordered because of our error, our sole obligation, and your exclusive remedy, is to re-send the affected postcard or restore the corresponding credit, at our option.

Return address. Unless you choose otherwise and we support it, postcards will display the return address you provide. You represent that you are authorized to use that address.

7. Community and Member Content

Member Content. The Services include forums and other areas where members can post text, comments, images, links, files, and other material ("Member Content"). You retain ownership of the Member Content you post. You are solely responsible for your Member Content and the consequences of posting it.

License to us. By posting Member Content, you grant Dealroom Partners a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, distribute, modify (for formatting and display), and otherwise use your Member Content to operate, provide, promote, and improve the Services. This license continues for a reasonable period after you delete Member Content or your account, to allow for removal from backups and archives, and continues indefinitely for Member Content that other members have quoted, replied to, or shared within the Services.

Your representations. You represent and warrant that you own or have the necessary rights to post your Member Content and to grant the license above, and that your Member Content does not violate these Terms, the law, or the rights of any person.

Community confidentiality. The community is a members-only space. You may not copy, screenshot, republish, or distribute other members' Member Content outside the Services without that member's permission. You understand that we cannot guarantee that other members will honor this rule, so do not post anything you would not want shared.

Client information. Do not post your clients' or customers' confidential or personal information, including names, addresses, financial details, or transaction details that could identify them, unless you have their permission and posting it is lawful and consistent with your duties to them.

Member interactions and referrals. You are solely responsible for your interactions with other members. Dealroom Partners does not screen members beyond the steps we choose to take, and does not verify the accuracy of anything members post. Any referral, co-marketing, or business arrangement between members is solely between those members. We are not a party to such arrangements and do not receive any referral fee or other compensation from them. You are responsible for ensuring any such arrangement complies with applicable law, including the Real Estate Settlement Procedures Act (RESPA) and state license law limits on paying or receiving referral fees.

8. Acceptable Use

You agree not to, and not to help or allow anyone else to:

  • post or send content that is unlawful, harassing, threatening, hateful, discriminatory, defamatory, obscene, sexually explicit, or invasive of another's privacy;
  • violate, or encourage others to violate, fair housing laws;
  • infringe any copyright, trademark, or other intellectual property right;
  • impersonate any person or entity or misrepresent your license status or affiliation;
  • post spam, chain messages, or unsolicited advertising, or solicit other members to buy products or services, or recruit them to a brokerage, team, or other business, except in areas or ways we expressly permit;
  • harvest, scrape, or collect information about other members, including to build mailing or marketing lists;
  • upload viruses, malware, or other harmful code, or interfere with or disrupt the Services or their servers or networks;
  • attempt to gain unauthorized access to any part of the Services, other accounts, or our systems, or bypass any access control, paywall, or usage limit;
  • use bots, scrapers, crawlers, or other automated means to access the Services, except standard search engine indexing of public pages;
  • download, record, screen-capture, copy, or redistribute training videos or other Services content, except as we expressly allow;
  • use any Services content to train, fine-tune, or develop any artificial intelligence or machine learning model;
  • use the Services to compete with us, or to build a similar product or service; or
  • use the Services in any way that violates these Terms or applicable law.

Moderation. We may, but are not obligated to, monitor, review, edit, or remove Member Content, and may restrict, suspend, or terminate any member, at any time and for any reason, including violation of these Terms. We are not responsible for Member Content posted by others, and we do not endorse any opinion, recommendation, or advice expressed by members.

Reporting. To report Member Content or conduct that violates these Terms, contact [[email protected]] or use any reporting tool we provide.

9. Our Content and Intellectual Property

Ownership. The Services and all content we provide, including training videos, courses, scripts, templates, postcard designs, text, graphics, logos, software, and the selection and arrangement of that content ("Our Content"), are owned by Dealroom Partners or our licensors and are protected by copyright, trademark, and other laws. "Dealroom Partners," our logos, and related names are our trademarks. Nothing in these Terms transfers ownership of Our Content to you.

Your license. Subject to these Terms and your payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Our Content through the Services for your own internal business use as a real estate professional, during your active membership. You may use templates and scripts we expressly provide for that purpose in your own marketing.

You may not reproduce, download (except where we provide a download feature), record, distribute, sell, license, publicly display or perform, modify, create derivative works from, or commercially exploit Our Content, or share it with non-members, except as expressly permitted by these Terms. Your license ends when your membership ends.

Feedback. If you send us ideas, suggestions, or feedback, we may use them for any purpose without obligation or compensation to you.

10. Not Continuing Education; No Professional Advice

Not CE credit. Unless expressly stated otherwise for a specific offering, content in the Services is not approved continuing education and does not satisfy any license renewal, pre-licensing, or post-licensing education requirement in any state.

Educational purposes only. Our Content and Member Content are provided for general educational and informational purposes. They are not legal, tax, accounting, financial, compliance, or brokerage advice. Dealroom Partners is not a real estate brokerage and does not supervise your real estate activities. Laws and rules vary by state and change over time. Consult your supervising broker, an attorney, or another qualified professional before acting on any information obtained through the Services.

No guarantee of results. We do not promise or guarantee that using the Services, our training, or the postcard service will produce any particular number of leads, listings, transactions, commissions, or income. Any examples, case studies, or testimonials reflect the experiences of particular individuals and are not typical or guaranteed. Your results depend on your own efforts, market conditions, and many other factors.

11. Artificial Intelligence Tools

Much of our training covers third-party artificial intelligence tools ("AI Tools"). We do not own, operate, or control those AI Tools, and your use of them is governed by their providers' own terms and privacy policies. If you use them, you are solely responsible for:

  • reviewing and verifying the accuracy of any AI-generated output before relying on or publishing it, because AI Tools can produce false, outdated, or misleading information;
  • ensuring AI-generated marketing, listing descriptions, images, and other content comply with fair housing laws, advertising rules, MLS rules, and your brokerage's policies;
  • protecting client confidentiality and personal information, including by not entering confidential client data into AI Tools unless doing so is permitted by law, by your duties to your clients, and by your brokerage; and
  • making sure you have the rights to any content you put into or get out of AI Tools.

Features, pricing, and availability of AI Tools change frequently, and our training may become outdated. We do not endorse any AI Tool, and we are not responsible for any loss arising from your use of one.

12. Third-Party Services and Links

The Services may contain links to, or integrations with, third-party websites, tools, and services, including payment processors, fulfillment vendors, video hosting, and AI Tools. We are not responsible for third-party services, their content, or their practices, and your dealings with them are solely between you and the third party.

Affiliate disclosure. Some links in the Services may be affiliate links, which means we may earn a commission if you purchase through them, at no additional cost to you. We will identify affiliate links where required by law.

13. Disclaimers

THE SERVICES, OUR CONTENT, MEMBER CONTENT, AND THE POSTCARD SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DEALROOM PARTNERS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT. WE MAY CHANGE, SUSPEND, OR DISCONTINUE ANY PART OF THE SERVICES, INCLUDING ANY VIDEO, FEATURE, OR CARD DESIGN, AT ANY TIME.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEALROOM PARTNERS OR ITS PARENT, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS (THE "DRP PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, COMMISSIONS, BUSINESS, CLIENTS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE DRP PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (US $100).

These limitations apply even if a remedy fails of its essential purpose, and they reflect an allocation of risk that is an essential basis of the bargain between you and us. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for our gross negligence, willful misconduct, or fraud.

15. Indemnification

You agree to defend, indemnify, and hold harmless the DRP Parties from and against any claims, demands, actions, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • your use of the Services;
  • your Member Content;
  • any postcard sent at your direction, including its content and recipients;
  • your Recipient Data, including how you obtained it and our use of it at your direction;
  • your real estate activities, advertising, and dealings with clients, prospects, and other members;
  • your use of any AI Tool or other third-party service; or
  • your violation of these Terms, any law or regulation, or the rights of any third party.

We may assume the exclusive defense and control of any matter for which you must indemnify us, and you agree to cooperate with our defense. You may not settle any such matter without our prior written consent.

16. Suspension and Termination

You may stop using the Services and cancel your membership at any time as described in Section 4.

We may suspend or terminate your account, membership, or access to any part of the Services at any time, with or without notice, if we believe you have violated these Terms or the law, if your license is revoked or suspended, if required by law, if your conduct may harm us, other members, or third parties, or if we discontinue the Services. If we terminate your membership for reasons other than your breach, we will refund the unused portion of any prepaid fees for the current billing period. If we terminate for your breach, you will not receive a refund.

Upon termination, your license to Our Content ends, unused postcard credits are forfeited, and we may delete your account data, Member Content, and Recipient Data, subject to our Privacy Policy and legal retention obligations. Sections that by their nature should survive termination will survive, including Sections 4 (as to amounts owed), 7 (license to us), 9, 10, 11, 13, 14, 15, 17, 18, and 22.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal resolution first. Before starting arbitration or a small claims case, you and we agree to try to resolve any dispute informally. The party raising the dispute must send a written notice describing the dispute and the relief sought, by email to [[email protected]] (for notices to us) or to the email on your account (for notices to you). If the dispute is not resolved within 60 days after the notice is received, either party may begin a formal proceeding.

Agreement to arbitrate. Except as stated below, you and Dealroom Partners agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with us, whether based on contract, tort, statute, or any other theory, and whether arising before or after you agreed to these Terms (a "Dispute"), will be resolved by final and binding individual arbitration. The arbitrator, and not any court, has exclusive authority to resolve any question about the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, except as provided under "Class action waiver" below.

Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies and remains there, and (b) seek injunctive or other equitable relief in court to stop actual or threatened infringement or misuse of intellectual property or unauthorized access to the Services.

Rules and procedure. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you use the Services primarily for personal purposes, and otherwise under its Commercial Arbitration Rules, as modified by this Section. The AAA rules are available at adr.org. Arbitration will be conducted by a single arbitrator. Unless you and we agree otherwise or the AAA rules require otherwise, any in-person hearing will take place in Norfolk County, Massachusetts, and the arbitrator may allow hearings by video or written submissions. The arbitrator may award the same individual relief a court could award, and the arbitrator's award may be entered as a judgment in any court of competent jurisdiction. Payment of AAA filing, administration, and arbitrator fees will be governed by the AAA rules, except that if you show that those fees would be prohibitively expensive compared to court costs, we will pay as much of them as the arbitrator finds necessary to prevent that result.

Mass arbitration. If 25 or more similar demands for arbitration are filed against us by or with the help of the same or coordinated counsel, the AAA's mass arbitration supplementary rules and fee schedules will apply, and the demands may be administered in batches.

Class action waiver. YOU AND DEALROOM PARTNERS AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person and may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If a court decides that this class action waiver is unenforceable as to a particular claim or request for relief, that claim or request (and only that one) will be severed and decided by a court under Section 18, after the arbitration of all other claims is complete.

Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE.

30-day right to opt out. You may opt out of this agreement to arbitrate by emailing [[email protected]] within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name, account email, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms, including the class action and jury trial waivers to the extent permitted by law.

Time limit. To the extent permitted by law, any Dispute must be brought within one (1) year after the claim arises, or it is permanently barred.

Changes to this Section. If we change this Section after you agree to it, the change will not apply to any Dispute of which we had notice before the change, and you may reject the change by emailing us within 30 days of the change, in which case the prior version of this Section applies.

Federal Arbitration Act. This Section involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

18. Governing Law and Venue

These Terms and any Dispute are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles, except that Section 17 is governed by the Federal Arbitration Act. For any matter not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state courts located in Norfolk County, Massachusetts, and the United States District Court for the District of Massachusetts.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services at least [15] days before they take effect, and we will update the "Last Updated" date above. Changes apply going forward and will not apply to Disputes arising before the change takes effect. Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree to the changes, you must cancel your membership before they take effect.

21. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including by email and through notices posted in the Services. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You may opt out of marketing emails using the unsubscribe link in those emails, but you will continue to receive transactional and account-related messages. [If we offer text messaging, we will ask for your separate consent, and the terms presented at that time will apply.]

22. General Terms

Entire agreement. These Terms, the Privacy Policy, your Plan terms, and any additional terms we present for specific features make up the entire agreement between you and us regarding the Services and supersede all prior agreements on that subject.

Severability. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent possible, and the remaining provisions will remain in full effect, except as provided in Section 17.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or your membership without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government action, postal or carrier disruptions, internet or utility failures, or failures of third-party service providers.

Independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and us. Despite the name "Dealroom Partners," members are not partners of, or in, the company.

Notices. We may send notices to the email address on your account. You must send legal notices to us at [[email protected]], with a copy to Dealroom Development LLC, PO Box 15366, Boston, MA 02215.

Headings and interpretation. Headings are for convenience only. "Including" means "including without limitation."
